TERMS OF SERVICE

Plain-English summary (the terms below still govern): this website collects early-access signups for compliance software that is not yet generally available. Nothing here is legal advice. When the subscription service launches, subscribers will be asked to accept a subscription agreement that supplements these terms.

1. Who we are

"Raincross FFL Systems," "we," "us," and "our" refer to Roman James Group LLC, a California limited liability company doing business as Raincross FFL Systems, Riverside, California. "You" means the person or business using this website or, when available, the Raincross FFL Systems software service (the "Service").

2. Acceptance of these terms

By using this website or submitting the early-access form, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the site.

3. The Service (early access)

The Service is compliance-focused software for federally licensed firearms dealers, including an electronic ATF Form 4473 workflow, an electronic acquisition-and-disposition record, and related tools. As of the effective date the Service is in a limited early-access program. We may modify, suspend, or discontinue any part of the Service or the program at any time. Participation in the early-access list does not guarantee access, pricing, or any particular feature.

4. Your compliance obligations remain yours

The Service is a tool, not a substitute for your own legal obligations. You are and remain solely responsible for compliance with all applicable laws and regulations, including the Gun Control Act, 27 CFR Part 478, ATF Rulings 2016-1, 2016-2 and 2022-1 (including required notifications to ATF and records availability at your licensed premises), and all applicable state law, including California DROS and waiting-period requirements. Nothing provided by the Service or this website is legal advice, and no output of the Service constitutes a determination that any transfer is lawful.

5. Accounts and acceptable use

When accounts become available, you agree to provide accurate information, keep credentials confidential, and use the Service only for lawful purposes connected to a valid Federal Firearms License. You may not attempt to access another dealer's environment, probe or disrupt the Service, or use it to create records you know to be false.

6. Your data

As between you and us, you own the records you create in the Service. We will provide export of your records in an inspection-suitable format. Our handling of personal information is described in the Privacy Policy.

7. Intellectual property

The Service, this website, and all associated software, design, and content are owned by Roman James Group LLC or its licensors and are protected by law. We grant you no rights other than the limited right to use the Service as provided. "Raincross," the raincross mark, and "Raincross FFL Systems" are trademarks of Roman James Group LLC.

8. Disclaimers

THE WEBSITE AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL SATISFY ANY REGULATORY REQUIREMENT APPLICABLE TO YOU.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROMAN JAMES GROUP LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE OR THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED DOLLARS IF YOU HAVE PAID NOTHING. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnity

You agree to defend and indemnify Roman James Group LLC against claims arising from your violation of these terms or of applicable law in connection with your use of the Service.

11. Changes to these terms

We may update these terms from time to time. The "Effective date" above reflects the latest version. Material changes affecting active subscribers will be communicated before they take effect.

12. Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Venue for any dispute lies in the state or federal courts located in Riverside County, California.
